Applicable to all participants in the Premom Affiliate Program (India)
These Affiliate Program Terms & Conditions ("Affiliate Terms") constitute a legally binding agreement between Easy Healthcare Corporation ("Easy Healthcare", "Premom", "we", "us", "our") and you, the individual or entity registering as an affiliate partner ("Affiliate", "you", "your"). By submitting an affiliate application, accessing the Affiliate Dashboard, generating or using an affiliate link, or receiving any commission payment, you acknowledge that you have read, understood, and agree to be bound by these Affiliate Terms, the Premom Privacy Policy, and any additional guidelines issued by Premom from time to time.
If you do not agree to these Affiliate Terms, do not submit an application or participate in the Premom Affiliate Program.
1. The Affiliate Program
1.1 Program Overview
The Premom Affiliate Program ("Program") allows eligible creators, influencers, healthcare professionals, and digital publishers to earn commissions by promoting Premom's products and services — including the Premom app, LH ovulation test strips, BBT thermometers, and associated offerings — through approved digital channels.
1.2 Eligibility
To be eligible to participate in the Program, you must:
- Be at least 18 years of age.
- Maintain an active presence on at least one approved platform (Instagram, LinkedIn, Facebook, Reddit, or other platforms approved in writing by Premom).
- Have an audience or community relevant to fertility, reproductive health, wellness, TTC (trying to conceive), PCOS, or related subject matter.
- Not be a direct competitor of Premom or employed by a competitor.
- Comply with all applicable laws and platform policies in India and, where relevant, any other jurisdiction in which you operate.
1.3 Application and Approval
Submission of an affiliate application does not guarantee acceptance. Premom reserves the right to approve or reject any application at its sole discretion without providing reasons. Approval is communicated via email. Premom may revoke approval at any time if these Affiliate Terms are breached or if, in Premom's judgment, continued participation is inconsistent with the Program's values or guidelines.
2. Affiliate Obligations
2.1 Content Standards
All content you create, publish, or distribute in connection with the Program must:
- Be original, accurate, and reflect your genuine experience with Premom's products.
- Comply with the Advertising Standards Council of India (ASCI) guidelines and all applicable advertising laws.
- Not be misleading, defamatory, obscene, or in violation of any third party's rights.
- Not make medical claims, diagnostic assertions, or treatment recommendations in connection with Premom products.
- Not target minors or contain content unsuitable for the reproductive health and wellness audience.
2.2 Mandatory Disclosure
You must clearly and conspicuously disclose your material relationship with Premom in all affiliate content, including but not limited to posts, stories, reels, reviews, and videos. Disclosure must appear before or at the start of the content and must use clear language such as:
- "Ad" or "Sponsored" or "PremomPartner"
- "This post contains affiliate links. I may earn a commission if you purchase through my link."
Failure to disclose constitutes a material breach of these Affiliate Terms and may result in immediate termination and forfeiture of earned commissions.
2.3 Prohibited Conduct
As an Affiliate, you may not:
- Bid on Premom-branded keywords or trademarked terms in paid search advertising without prior written approval.
- Use spam, unsolicited messages, pop-ups, or any automated means to generate clicks or conversions.
- Place affiliate links in any context that misrepresents or disguises their commercial nature.
- Make false or unsubstantiated claims about Premom's products, including claims of guaranteed pregnancy outcomes.
- Engage in cookie stuffing, click fraud, or any other activity designed to artificially inflate commissions.
- Offer cash-back, rebates, or incentives to users to purchase through your affiliate link without prior written approval.
- Promote Premom on adult content platforms, extremist platforms, or any platform that promotes hate speech or illegal activity.
- Sub-affiliate your account or transfer your affiliate rights to any third party.
2.4 Platform Restrictions
Affiliate content may only be published on platforms expressly approved by Premom in writing. At launch, approved platforms are: Instagram, LinkedIn, Facebook, and Reddit. Premom may add or remove platforms from the approved list at any time. You must immediately cease promotion on any platform that is removed from the approved list.
3. Commission Structure and Payments
3.1 Commission Basis
Commissions are earned on verified, qualifying actions as defined in the current campaign brief provided to you at onboarding or updated periodically by Premom. Qualifying actions may include verified views, clicks, engagement, or completed purchases, depending on the campaign structure in effect.
3.2 Current Campaign Structure (India Market)
The following rates apply to the current campaign tier and are subject to revision by Premom at any time:
- Brand Investment per Campaign: INR 1,00,000
- Guaranteed Cost Per View (CPV): INR 0.80 – 0.90
- Guaranteed Views (across all creators): 1,00,000 – 1,20,000
- Expected Engagement Rate: 1% – 3%
Creator tier distribution (slots per campaign):
- Nano (below 30K followers): 3–4 creators
- Micro (30K – 100K followers): 2–3 creators
- Mid-tier (100K – 500K followers): 2–3 creators
3.3 Commission Conditions
Commission payments are subject to the following conditions:
- Content must comply with all standards set out in Section 2 of these Affiliate Terms.
- Performance metrics must be verified by Premom or its designated analytics partner.
- You must submit your campaign performance report via email to india-affiliate@premom.com within the deadline specified in the campaign brief.
- Premom reserves the right to withhold commissions in respect of any traffic or engagement that Premom reasonably determines to be fraudulent, bot-generated, or in violation of these Affiliate Terms.
3.4 Payment Process
Approved commissions are paid monthly. Payment is made via bank transfer or such other method as Premom may specify. You are responsible for providing accurate payment details and for any taxes applicable to commission payments received. Premom will not be liable for payments made to incorrect accounts provided by you.
3.5 Disputes
Any dispute regarding commission calculations must be raised in writing to india-affiliate@premom.com within 15 days of the relevant payment statement. Disputes raised after this period will not be considered.
4. Intellectual Property
4.1 Premom Brand Assets
Premom grants you a limited, non-exclusive, revocable, non-transferable licence to use Premom's approved trademarks, logos, and creative assets ("Brand Assets") solely for the purpose of promoting Premom's products through your approved affiliate content. This licence does not permit you to:
- Alter, modify, or create derivative works from any Brand Assets.
- Use Brand Assets in a manner that implies endorsement of your own brand or any third party.
- Register or use any domain name, social media handle, or business name that contains Premom's trademarks.
All Brand Assets remain the exclusive property of Easy Healthcare Corporation. This licence terminates immediately upon termination of your participation in the Program.
4.2 Your Content
You retain ownership of content you create as an Affiliate. By participating in the Program, you grant Easy Healthcare a non-exclusive, royalty-free, worldwide, perpetual licence to use, reproduce, display, and distribute your affiliate content for Premom's marketing and promotional purposes, with appropriate credit to you where commercially reasonable. You warrant that your content does not infringe any third party's intellectual property rights.
5. Confidentiality
You may receive confidential information in connection with the Program, including commission rates, product launch plans, campaign briefs, and performance data ("Confidential Information"). You agree to:
- Keep all Confidential Information strictly confidential.
- Not disclose Confidential Information to any third party without Premom's prior written consent.
- Use Confidential Information only for the purposes of participating in the Program.
This confidentiality obligation survives termination of your participation in the Program for a period of two (2) years.
6. Term and Termination
6.1 Term
These Affiliate Terms commence on the date of your approval into the Program and continue until terminated by either party.
6.2 Termination by You
You may terminate your participation at any time by providing written notice to india-affiliate@premom.com. Termination does not entitle you to any unpaid commissions in respect of content that does not meet the criteria in Section 3.3 at the time of termination.
6.3 Termination by Premom
Premom may terminate your participation immediately and without notice if:
- You breach any provision of these Affiliate Terms.
- You engage in conduct that Premom determines to be harmful to its brand, reputation, or users.
- Premom terminates the Program entirely.
Upon termination, all licences granted to you under these Affiliate Terms immediately cease, and you must remove all affiliate links and Premom Brand Assets from your platforms within 48 hours.
6.4 Effect of Termination
Premom reserves the right to withhold commissions earned during any period in which a breach of these Affiliate Terms occurred. Commissions earned prior to a breach and otherwise verified and approved will be paid in accordance with the normal payment cycle.
7. Disclaimers and Limitation of Liability
7.1 No Guarantee of Earnings
Premom does not guarantee any particular level of commission earnings. Commission rates and campaign structures may change at any time. Premom is not liable for any loss of anticipated income arising from changes to the Program.
7.2 Product Disclaimer
Premom's products are provided for fertility tracking and informational purposes only. Premom does not guarantee conception or pregnancy outcomes. As an Affiliate, you must not represent or imply that Premom's products guarantee pregnancy.
7.3 Limitation of Liability
To the maximum extent permitted by applicable law, Easy Healthcare's total liability to you in connection with the Program shall not exceed the total commissions paid to you in the three (3) months preceding the event giving rise to the claim. In no event shall Easy Healthcare be liable for any indirect, incidental, special, or consequential damages arising from your participation in the Program.
8. Indemnification
You agree to indemnify, defend, and hold harmless Easy Healthcare Corporation, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your breach of these Affiliate Terms.
- Your affiliate content, including any claims of intellectual property infringement, defamation, or misleading advertising.
- Your violation of any applicable law or platform policy.
9. Governing Law and Dispute Resolution
9.1 Governing Law
These Affiliate Terms are governed by the laws of India, without regard to its conflict of law principles. For affiliates based in India, the courts of Bengaluru shall have exclusive jurisdiction over any dispute arising from these Affiliate Terms.
9.2 Informal Resolution
Before initiating formal proceedings, both parties agree to attempt to resolve any dispute informally by written notice to india-affiliate@premom.com. If the dispute is not resolved within 30 days of such notice, either party may pursue formal dispute resolution.
9.3 Arbitration
Disputes not resolved informally shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (India), before a single arbitrator mutually agreed upon by the parties. The seat of arbitration shall be Bengaluru, Karnataka. The language of arbitration shall be English.
10. General Provisions
10.1 Entire Agreement
These Affiliate Terms, together with any campaign briefs and the Premom Privacy Policy, constitute the entire agreement between you and Easy Healthcare in relation to the Program and supersede all prior representations, discussions, or agreements.
10.2 Amendments
Premom may update these Affiliate Terms at any time. Updated terms will be communicated via email and/or the Affiliate Dashboard. Your continued participation in the Program after the effective date of any amendment constitutes acceptance of the revised terms.
10.3 Waiver and Severability
Premom's failure to enforce any provision of these Affiliate Terms shall not constitute a waiver of that provision. If any provision is found to be unenforceable, the remaining provisions shall continue in full force.
10.4 Independent Contractor
You are an independent contractor and not an employee, agent, partner, or joint venture of Easy Healthcare. You have no authority to bind Easy Healthcare to any contract or obligation.
10.5 Assignment
You may not assign or transfer your rights or obligations under these Affiliate Terms without Premom's prior written consent. Premom may assign these Affiliate Terms in connection with a merger, acquisition, or sale of assets.
